Welcome to Coderstm. Coderstm (coderstm.com) ("Company," "we," "us," or "our") develops and licenses premium developer-centric software products, SaaS starter kits, source code frameworks, gym & fitness management systems, opt-in newsletter & subscriber management platforms, and professional automation tools (collectively, the "Software"). This Refund, Licensing & Support Policy ("Policy") is fully integrated into and forms an essential part of our primary Terms & Conditions, and operates in conjunction with our Software License Agreement, Technical Support & Maintenance Policy, and Privacy Policy. This document governs your purchase, digital delivery, licensing models, technical support boundaries, and outlines our absolute refund terms. Please read this document carefully before making a purchase.
1. Absolute Refund Policy & Chargeback Protection
Due to the specific nature of digital product delivery and the supply of fully open, developer-centric source code, all transactions are subject to the following absolute refund guidelines:
- All Sales Are Strictly Final: Once a purchase is completed, your license keys are generated, and the downloadable files (.zip archives or GitHub repository access) are accessed, cloned, or downloaded, we do not offer refunds, exchanges, returns, or account credits under any circumstances.
- Digital Nature Waiver: Downloadable software cannot be returned, de-authorized, or practically retrieved once downloaded. Therefore, changes of mind, lack of technical hosting capabilities, local development conflicts, choosing the incorrect license tier, or server incompatibility do not constitute valid grounds for a refund.
- Statutory Right of Withdrawal Waiver (EU/UK/International): By purchasing a Coderstm software product and initiating the download or receiving your license details, you explicitly consent to the immediate performance of this contract. You acknowledge and agree that you lose your statutory 14-day right of withdrawal and any associated cooling-off periods under the EU Consumer Rights Directive, UK Consumer Contracts Regulations, and other local consumer protection laws governing downloadable digital goods.
- Diligence Responsibility: We provide fully functional online demonstrations, complete lists of system prerequisites (such as PHP version, database engines, Redis dependencies), and detailed product documentation. It is your sole responsibility to review the demos and verify your hosting environment meets our exact system requirements prior to checking out.
- Chargeback Abuse and Dispute Consequences: Filing an unauthorized dispute, card reversal, payment claim, or chargeback with Razorpay, PayPal, your credit card processor, or your financial institution is a direct and severe breach of this agreement. Coderstm reserves the right to immediately:
- Revoke and terminate your software licenses.
- Black-list your domains and block API and licensing key validation.
- Terminate your developer accounts and restrict access to future downloads and updates.
- Pursue statutory recovery claims for financial damages, chargeback penalties, and legal fees under Indian jurisdiction.
2. Digital Product Delivery & Fulfillment Policy
Coderstm operates strictly as a digital products company. No physical goods or packages are shipped:
- Automated Instant Delivery: Immediately upon successful transaction authorization via our secure payment partners (Razorpay for Indian Rupee transactions, PayPal for international USD/multicurrency transactions), the checkout system logs the sale, generates your license keys, and delivers download links directly to your registered billing email address.
- Fulfillment Troubleshooting: Standard digital delivery occurs within fifteen (15) minutes. If the email containing your license keys and download links does not arrive, please check your spam, junk, or promotional email filters. If it remains missing, contact our support desk immediately at support@coderstm.com with your Order ID and payment receipt for manual verification and fulfillment.
- Taxes, VAT & Gateway Fees: Purchase amounts are subject to applicable statutory taxes:
- Indian Purchases: Subject to Goods and Services Tax (GST) and standard gateway fees processed securely via Razorpay.
- International Purchases: Subject to local digital service taxes, Value Added Tax (VAT), or Sales Tax processed securely via PayPal.
3. Software License Agreement (Regular vs. Extended Tiers)
All Coderstm source codes are protected by intellectual property laws. Your purchase grants you a limited, non-exclusive, non-transferable operational license governed strictly by your selected tier:
A. Regular License
The Regular License is designed strictly for personal use, internal business operations, or single-client custom projects:
- Single Installation: Limited to a single (1) active production installation on one domain.
- Non-Commercial Limitations: You may NOT use this license to create, launch, or operate a commercial Software-as-a-Service (SaaS) business, charging end-users a subscription or membership fee for software access.
- No Resale or Multi-Tenancy: You may NOT use the software to run multi-tenant resale platforms, white-label services, or distribute the software to multiple third parties.
- Source Code Modifications: You may modify the source code files, but only for your internal business requirements or for your single client. You may NOT redistribute, leak, share, or resell the modified code.
B. Extended License
The Extended License is engineered for commercial SaaS, multi-user monetization, and revenue-generating business models:
- Commercial SaaS Monetization: You are fully authorized to host the software as a commercial SaaS, charge end-users monthly/annual subscription fees, and generate direct revenue from memberships.
- White-Label Operations: Allows white-label branding, permitting you to replace the Coderstm logo and brand assets with your own identity (only if explicitly specified in the product's official feature list).
- Source Code Restrictions: While you may monetize the running platform, you do NOT own the underlying copyrights. You are strictly prohibited from reselling, sublicensing, or redistributing the raw PHP/Javascript source code itself to any developer or competitor.
4. Technical Support Policy & Scope SLA
To protect our engineering team from server administration scope creep and custom styling debugging, we enforce strict technical support boundaries:
- 30 Days of Free Baseline Support: Every standard software purchase includes exactly **thirty (30) days of free technical support** commencing on the exact purchase date.
- What is Included:
- Verification that our core, unmodified codebase installs and operates on clean server environments that meet our system requirements.
- Answering basic, product-related questions about out-of-the-box settings.
- Addressing verified core bugs present in our official unmodified release.
- What is Strictly Excluded:
- Custom development, custom styling, feature additions, or custom business logic modifications.
- Debugging codebase custom-tailored or modified by your development team.
- Server management, VPS setups (AWS, DigitalOcean, Linode), Nginx/Apache configuration, and database performance tuning.
- Local developer environment troubleshooting (Docker, XAMPP, local Node setups).
- Third-party API configurations, acquiring WhatsApp/SMS gateway credentials, domain name management, and SSL installations.
- Email deliverability issues, DNS setups (SPF, DKIM, DMARC), or resolving AWS SES/SMTP sandbox limits and email account suspensions. You explicitly acknowledge that our software does not include any sending infrastructure or SMTP servers; you are solely responsible for acquiring, configuring, complying with, and paying for your own third-party sending relays.
- Premium Services: Server deployment, mobile app compilation, and extended support contracts are not included in standard licenses and can only be obtained as premium, paid services.
5. Customer Infrastructure Responsibilities
As a self-hosted codebase purchaser, you assume full responsibility and control over your hosting and infrastructure. This includes managing and maintaining:
- Web Hosting & VPS: Provisioning and paying for robust web servers, cloud computing VPS instances, and active database engines.
- Deployment & Security: Configuring files, running migrations, securing database access ports, and setting up firewalls.
- Domain & SSL: Registering domains, setting up DNS records, and installing SSL certificates to ensure secure HTTPS connections.
- Backups & Disaster Recovery: Setting up daily database and file backups. Coderstm is not responsible for data corruption or server losses.
- Third-Party Credentials: Setting up and financing API credentials, payment processor credentials, and SMTP email services.
- Compliance: Ensuring your platform usage complies fully with all local and international laws governing your specific industry.
6. Strict License Restrictions & Revocation
Any of the following activities constitute a direct, severe breach of copyright and our license agreement, and will result in immediate, permanent license deactivation, repository access ban, and legal claims, without notice or refund:
- Unauthorized Redistribution: Publicly sharing, leaking, or hosting the source files, database assets, or logic files (such as uploading to public GitHub repositories, sharing on online forums, torrent portals, or messaging channels).
- License Key Piracy: Bypassing, decrypting, modifying, or reverse-engineering our licensing frameworks, domain validation keys, or telemetry reporting tools.
- Reselling or Sublicensing: Renting, leasing, sublicensing, gifting, or selling the raw source code files to developers or competitors.
- Copyright Notice Removal: Removing or altering Coderstm trademarks, copyright notices, or developer credits from the codebase.
- Unsolicited Communication & Abuse: Utilizing our software products to facilitate cold outreach, prospecting, lead generation, unsolicited bulk messaging (spam), phishing scams, illegal gambling, or any activity that violates permission-based communication laws (CAN-SPAM, GDPR, CASL).
7. Warranty Disclaimer & Limitation of Liability
- Warranty Disclaimer: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE, SOURCE CODE, AND DOCUMENTATION ARE SUPPLIED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CODERSTM DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, SECURITY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL OPERATE UNINTERRUPTED, BUG-FREE, OR COMPATIBLE WITH ALL HOSTING AND DATABASE PROVIDERS.
- Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CODERSTM, ITS DIRECTORS, EMPLOYEES, DEVELOPERS, RESELLERS, OR GATEWAY PARTNERS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF BUSINESS PROFITS, PLATFORM DOWN-TIME, DATA LOSS, SYSTEM BREACHES, COST OF SUBSTITUTE SOFTWARE, OR REVENUE LOSS) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- Liability Cap: In all circumstances, Coderstm's aggregate financial liability under this agreement shall be strictly capped at the actual purchase price paid by you for the specific software license in question.
8. Governing Law & Legal Jurisdiction
This Agreement, your purchase, your software license rights, and any legal dispute or claim arising between you and Coderstm shall be governed exclusively by, and construed in accordance with, the laws of the Republic of India. You and Coderstm explicitly agree that any legal actions, court hearings, or arbitration proceedings must be resolved solely and exclusively in the Barrackpore Sub-Divisional Court in North 24 Parganas, West Bengal, India.
