Terms & Conditions for Coderstm

Welcome to Coderstm. Coderstm (coderstm.com) ("Company," "we," "us," or "our") provides enterprise-grade self-hosted software products, SaaS starter kits, downloadable source code packages, and associated digital services (collectively, the "Software"). These Terms & Conditions ("Terms") form a legally binding agreement between Coderstm and you ("Licensee," "Customer," or "you") governing your purchase, download, installation, modification, and use of our Software.

By purchasing a license, downloading the Software, or installing any Coderstm product, you explicitly acknowledge that you have read, understood, and agreed to be bound by these Terms. These Terms incorporate by reference and work in conjunction with our Software License Agreement, Technical Support & Maintenance Policy, Refund Policy, and Privacy Policy. If you are entering into this agreement on behalf of a company or other legal entity, you represent and warrant that you possess the full legal authority to bind such entity to these Terms.


1. Corporate positioning & Self-Hosted Infrastructure Model

Coderstm operates strictly as a developer-centric software product company. We design and deliver high-performance, open-source codebases, SaaS boilerplate frameworks, and turn-key operational software. It is critical to understand the boundaries of our delivery model:

  • Downloadable Digital Assets: All Coderstm products are distributed exclusively as downloadable, unencrypted digital products (.zip packages or repository access). No physical goods are shipped under any circumstances.
  • Sovereign Infrastructure (Self-Hosted): We do NOT host the Software or store your operational databases, customer databases, campaign logs, biometric attendance records, or communication histories. 100% of your data and execution files reside on your own customer-controlled servers.
  • Zero SMTP/Sending Infrastructure Provided: For any subscriber management or newsletter components (such as Mailzor), Coderstm does NOT provide, lease, or manage any email sending servers, IP addresses, or SMTP relays. Licensees must securely connect their own third-party SMTP API or relay service (e.g., Amazon SES, Mailgun, Postmark, SendGrid), which independently police spam, rate-limits, and list hygiene.
  • Customer Infrastructure Responsibility: You are solely responsible for provisioning, configuring, securing, and maintaining your own web hosting, virtual private servers (VPS), dedicated servers, databases, domain names, SSL certificates, cron jobs, backups, network security, and third-party API credentials.

2. Billing, Payment Processing, & Global Taxes

To ensure secure, high-integrity transaction processing and compliance with international tax regulations, we utilize leading global payment gateways:

  • Payment Gateways:
    • Indian Customers: Payments are processed via Razorpay in Indian Rupees (INR). Purchases are subject to applicable Indian Goods and Services Tax (GST) and payment gateway processing fees.
    • International Customers: Payments are processed securely via PayPal in United States Dollars (USD) or other supported currencies. Transactions may be subject to local digital service taxes, Value Added Tax (VAT), or Sales Tax based on your legal jurisdiction.
  • All Sales Final: Due to the instant delivery and open-source nature of downloadable software, all payments are processed immediately and are strictly non-refundable.
  • Taxes & Gateway Fees: You agree to pay all applicable licensing fees, transaction processing charges, and statutory taxes (including but not limited to GST, VAT, and withholding taxes) associated with your purchase. You may not withhold any tax amounts from the payments due to Coderstm.

3. Immediate Digital Product Delivery

  • Automated Fulfillment: Upon successful checkout completion via Razorpay or PayPal, the transaction is logged, your unique license keys are generated, and download links are delivered instantly via email to your registered billing address.
  • Fulfillment Support: If your download links or license details do not arrive in your email inbox within fifteen (15) minutes of payment confirmation, you must check your spam/junk folders. If the email is missing, please contact our support desk immediately at support@coderstm.com with your Order ID, billing email, and payment receipt.
  • No Physical Shipment: Since all Coderstm assets are digital, there are no logistics, shipping times, or customs clearances involved.

4. Absolute Refund Policy & Chargeback Protection

Because Coderstm licenses are distributed as downloadable, open-developer codebases that cannot be returned, de-authorized, or practically retrieved once downloaded:

  • Strict No-Refund Rule: All sales are strictly final. We do not offer refunds, account credits, exchanges, or returns under any circumstances. Change of mind, lack of technical hosting skills, server incompatibility, or choosing the wrong license tier does not constitute grounds for a refund.
  • Statutory Right of Withdrawal Waiver (EU/UK/International): By purchasing a Coderstm software product and initiating the download or receiving your license key, you explicitly consent to the immediate performance of this contract. You acknowledge and agree that **you lose your statutory 14-day right of withdrawal and any associated cooling-off periods under the EU Consumer Rights Directive, UK Consumer Contracts Regulations, and local consumer protection laws.**
  • Pre-Sale Diligence: We supply extensive product documentation, full lists of technical requirements, system prerequisites, and fully operational live demonstration environments. It is your sole responsibility to review the demos and ensure your hosting server meets the requirements before purchasing.
  • Chargeback Abuse and Dispute Consequences: Filing an unauthorized dispute, payment reversal, fraud claim, or chargeback with Razorpay, PayPal, your credit card company, or your bank is a direct breach of this agreement. Coderstm reserves the right to immediately and permanently terminate your software licenses, deactivate your download accounts, restrict updates, black-list your domains, and pursue legal claims for monetary damages and recovery fees under Indian jurisdiction.

5. Technical Support Policy & Strict SLA Boundaries

We are dedicated to helping you succeed, but we must protect our engineering team from custom server administration and development scope creep. Your purchase includes a limited support window governed by these terms:

  • 30 Days of Free Baseline Support: Every standard software purchase includes exactly **thirty (30) days of free technical support** commencing on the date of purchase.
  • Scope of Support: Our support is strictly limited to:
    • Verifying that the core, unmodified codebase functions out-of-the-box on clean server environments meeting our exact system prerequisites (e.g., PHP 8.3+, clean MySQL, Redis).
    • Assisting with standard, default database migration or seed commands.
    • Addressing confirmed product bugs present in our official, unmodified core release.
  • Strict Support Exclusions: Support does **NOT** cover:
    • Custom codebase modifications, custom styling, or debugging code customized by your team.
    • Server management, Nginx/Apache configuration, PHP extension installations, or VPS setup (AWS, DigitalOcean, Linode, etc.).
    • Domain management, DNS configurations, SSL certificates, or SPF/DKIM/DMARC setups.
    • Third-party API credentials, WhatsApp API setups, SMS gateway balances, email deliverability, DNS setups, or third-party SMTP/relays sandbox limits and suspensions.
    • Local development environment setups (e.g., Docker local setups, Windows/Mac XAMPP configs).
    • Performance optimization, custom security hardening, database scaling, or server migrations.
  • Premium Support & Deployment Services: Server setup, mobile app store compilation, custom development, and extended support agreements are not included in the standard license purchase and must be acquired separately as premium paid services.

6. Acceptable Use Policy & License Restrictions

To protect Coderstm's brand integrity, intellectual property, and community of legitimate buyers, you agree to adhere strictly to the following Acceptable Use guidelines. Any of the following actions constitute a severe breach and will result in immediate license termination without refund:

  • No Public Sharing or Redistribution: You may not share, leak, upload, distribute, or make the raw source files, assets, databases, or licensing frameworks publicly accessible (e.g., on GitHub, public file servers, or torrent sites).
  • No Software Reselling or Piracy: You are strictly prohibited from reselling, sublicensing, leasing, renting, or gifting Coderstm source files to any third party.
  • No Reverse Engineering: You may not bypass, decrypt, modify, or reverse-engineer the licensing frameworks, domain validation protocols, or code checks integrated into the software.
  • No Illegal Activities or Cold Outreach: You may not use the Software to execute unsolicited outbound email outreach, cold prospecting, lead generation campaigns, or any form of unsolicited bulk messaging (spam). The Software is designed exclusively for permission-based, double opt-in newsletter campaigns, customer updates, and transactional emails sent to existing, legally acquired subscribers. You may not process, import, or manage scraped, purchased, or harvested contact lists, and you must maintain strict compliance with global anti-spam regulations (including CAN-SPAM, GDPR, CASL, and other local regulations).

7. Limitation of Liability & Absolute Warranty Disclaimer

  • WARRANTY DISCLAIMER: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE, SOURCE CODE, AND DOCUMENTATION ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CODERSTM DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, SECURITY, RELIABILITY, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, SECURE, BUG-FREE, OR COMPATIBLE WITH ALL SERVER INFRASTRUCTURES.
  • LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CODERSTM, ITS DIRECTORS, EMPLOYEES, DEVELOPERS, OR PAYMENT GATEWAY PARTNERS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF BUSINESS PROFITS, SYSTEM DOWNTIME, DATA LOSS, CORRUPTION OF DATABASE RECORDS, SECURITY BREACHES, COST OF PROCUREMENT OF SUBSTITUTE GOODS, OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • Liability Cap: In any event, our total aggregate liability under or arising out of these Terms shall be strictly capped at the actual purchase price paid by you for the specific Coderstm Software license in question.

8. Intellectual Property & Brand Rights

All Coderstm products, brand assets, source codes, databases, themes, documentation, logic charts, graphics, and visual designs are the exclusive intellectual property of Coderstm. Your license purchase grants you a limited operational right; it does **NOT** transfer ownership, copyright, trademarks, or any intellectual property rights of Coderstm products to you. All rights not explicitly granted herein are reserved strictly by Coderstm.

9. License Revocation & Termination

Your license remains active perpetually as long as you comply with these Terms. We reserve the absolute right to terminate your license, revoke code access, and deactivate domain authentications immediately, without refund or notice, if you breach any clause in these Terms, engage in payment fraud, or initiate unauthorized disputes. Upon termination, you must immediately cease using the Software and destroy all downloaded copies in your possession.

10. Governing Law & Exclusive Jurisdiction

These Terms, your purchase, your license, and any dispute arising under or in connection with them shall be governed exclusively by, and construed in accordance with, the laws of the Republic of India. You and Coderstm explicitly agree that **any legal actions, claims, or disputes must be resolved solely and exclusively in the Barrackpore Sub-Divisional Court in North 24 Parganas, West Bengal, India.**
